1.协议范围与接受

本条款适用于您下载、安装、试用、购买和使用 RES Financial Model（以下简称"本软件"）的全部行为。下载、安装或以任何方式使用本软件，即视为您已阅读并同意本条款。如不同意，请停止使用并删除本软件。

These Terms apply to all use of the software, including trial and paid use. By installing or using the software you accept these Terms.

2.许可授予

在您遵守本条款的前提下，Yellowfir Group Limited 授予您一项非独占、不可转让、不可再许可的有限许可，允许您在已获授权的设备上安装并使用本软件，用于您本人或您所在机构的内部业务分析。

Subject to these Terms, we grant you a non-exclusive, non-transferable, non-sublicensable licence to install and use the software on licensed devices for internal business analysis.

3.免费试用

每台设备可获得累计 1 小时的免费试用（跨启动累计计时，由授权服务器统一记录）。试用期结束后，软件保留启动能力，但需购买授权后方可继续使用核心功能。

Each device receives a cumulative one-hour free trial. After the trial ends, a paid licence is required to continue using the core features.

4.价格、支付与税费

授权价格以软件内及产品页展示为准，以美元（USD）计价，为一次性费用，不自动续费。支付由 Paddle 作为 Merchant of Record 处理；适用的增值税、销售税或其他税费由 Paddle 按您的所在地计算并收取。电子收据由 Paddle 发送至您的邮箱。

Prices are one-time, in USD, as displayed in the app and on the product page. Paddle acts as Merchant of Record and handles applicable taxes. Receipts are issued by Paddle.

5.授权绑定与设备转移

授权绑定至购买时登记的设备（通过匿名化的硬件标识生成，不包含您的个人身份信息）。同一设备重装操作系统后授权仍然有效。如需更换电脑，请联系客服办理授权转移；每份授权原则上允许合理的转移次数。

Licences are bound to the registered device. Reinstalling the operating system does not void the licence. Device transfers can be requested from customer support.

6.使用限制

未经书面许可，您不得：

• 复制、分发、出租、出借、转售本软件或授权，或将授权用于第三方代运营服务；
• 对本软件进行反向工程、反编译、反汇编，或试图获取源代码（法律强制允许的情形除外）；
• 绕过、破解、规避授权验证机制，或修改、伪造授权数据；
• 删除或隐匿软件中的版权、商标或其他权利声明。

You may not redistribute, resell, sublicense, reverse engineer, or circumvent the licensing mechanism of the software.

7.知识产权

本软件及其界面、模型逻辑、文档和商标的全部知识产权归 Yellowfir Group Limited 所有。您仅获得第 2 条所述的有限使用许可，不获得任何所有权。您使用软件输入的参数、生成的报表与导出文件归您所有。

All intellectual property in the software remains with Yellowfir Group Limited. Inputs you provide and outputs you generate remain yours.

8.数据与隐私

本软件仅在授权验证所需的范围内收集设备标识哈希、应用版本与授权状态，不采集您的财务模型输入或导出内容。详细说明见 隐私政策。

We collect only the minimum data required for licence verification. See our Privacy Policy.

9.免责声明

本软件提供的模型、报表与测算结果仅供专业分析与决策参考，不构成投资建议、财务意见或任何形式的保证。WACC 等外部取数来自公开数据源，可能存在延迟或偏差。您应自行核实输入数据并对使用结果负责。

The software and its outputs are for analysis and reference only and do not constitute investment, financial or legal advice. You are responsible for verifying inputs and outputs.

10.责任限制

在适用法律允许的最大范围内，Yellowfir Group Limited 不对任何间接损失、利润损失、数据丢失或业务中断承担责任。就任何索赔，我们的累计责任不超过您在过去 12 个月内为本软件实际支付的费用。

To the maximum extent permitted by law, our aggregate liability shall not exceed the amount you paid for the software in the preceding 12 months.

11.服务变更与终止

我们可能发布更新、调整功能或终止对旧版本的支持。如您严重违反本条款，我们有权终止授权且不予退款。授权自然到期或终止后，您应停止使用并删除本软件。

We may release updates or discontinue support for older versions. We may terminate licences for material breach without refund.

12.适用法律与争议解决

本条款受香港特别行政区法律管辖。因本条款产生的争议，双方应友好协商；协商不成的，提交香港特别行政区法院管辖。

These Terms are governed by the laws of the Hong Kong SAR, with the courts of Hong Kong having jurisdiction.
